Limited Product Warranty

Effective Date: April 1, 2026

Archer Power Solutions, Inc. (APS or Manufacturer) expressly warrants to the original purchaser that, subject to the registration requirements set forth below, for a period of one (1) year from the date of sale the Kingfisher Product will be reasonably free of defects in materials and workmanship and that when properly handled, will conform, within accepted tolerance, to applicable manufacturing specifications. This Limited Product Warranty (Limited Warranty) only applies to APS's Products which are used, stored, handled, and installed as set forth in APS’ Installation and Operations Manual.

Warranty Eligibility; Proof of Purchase; Warranty Term

Definitions.

"Date of Purchase" means the calendar date on the Purchaser's sales receipt, invoice, or other commercially reasonable evidence of purchase from an authorized seller;

“Installation and Operations Manual” means the specific manual or documentation regarding the installation, use, and maintenance of the Product provided by APS and accompanying the Product at the time of original purchase;

"Product" means the covered product sold by APS to the original purchaser;

"Purchaser" means the original end-user purchaser of the Product;

"Proof of Purchase" means a legible copy (paper or electronic) of a dated sales receipt, invoice, or equivalent document that reasonably evidences i) the Product (including model and serial number, if available), (ii) the purchase price or other identifying transaction information, and (iii) the Date of Purchase;

"Warranty Claim" means a request by the Purchaser for warranty service, repair, replacement, or other remedy available under this Limited Warranty.

Proof of Purchase as Condition Precedent to Warranty Performance: As a condition precedent to APS's performance of any obligation under this Limited Warranty in connection with a Warranty Claim, the Purchaser shall submit Proof of Purchase to APS at the time the Warranty Claim is initiated (or within a reasonable time thereafter as requested by APS). APS may reasonably request additional information limited to that necessary to (i) verify the Product is within the applicable warranty period, (ii) confirm the Product's identity (including model and serial number, if applicable), and (iii) administer the Warranty Claim.

Timing and Format of Submission: Proof of Purchase may be submitted in paper or electronic form through APS's then-current warranty claim intake process, and APS shall treat an electronic copy of Proof of Purchase as sufficient if legible and complete. If the Purchaser cannot provide a receipt or invoice due to loss or destruction, APS may, in its reasonable discretion, accept alternative commercially reasonable evidence of the Date of Purchase; however, APS shall have no obligation to provide warranty performance unless and until APS receives Proof of Purchase reasonably acceptable to APS.

Warranty Commencement. The warranty period for the Product begins on the Date of Purchase.

Proof of Purchase. As a condition precedent to obtaining any remedy under this Limited Warranty, the Purchaser has the sole burden of proving the actual date of purchase of the Product. The Purchaser must provide a valid proof of purchase that clearly identifies the Product, the price paid, and the date of sale. If the Purchaser is unable to provide such proof to the satisfaction of APS, the warranty period will be deemed to have commenced on the date the Product was originally shipped from APS.

Warranty Coverage Duration and Scope

Year One Coverage: For the first twelve (12) months from the date of sale, APS will, at its option, repair or replace the Product without charge, or refund the cost of the Product, if the Product fails or does not perform as warranted solely due to a manufacturing defect, subject to the exclusions set forth in this Limited Warranty. Repair or replacement during the first year shall include reasonable labor charges necessary to repair or replace the defective product. All warranty service, including all repair parts and all labor, shall be performed only at the Manufacturer's facility.

Kingfisher Preferred Installer Program (KPIP) Extended Coverage: Products installed through APS-registered KPIP technicians are eligible for an additional one (1) year of full warranty coverage (labor and parts) beyond the standard one-year warranty period. KPIP extended coverage requires: (i) proof of installation by a registered KPIP technician; and (ii) compliance with all APS installation requirements and documentation. KPIP eligibility and registration status may be verified through the APS website at https://archerpowersolutions.com/.  During this extended period, APS will cover reasonable labor for the removal and reinstallation of the Product, limited to a maximum of two (2) hours and not to exceed a total of $300.00. All labor reimbursements shall be paid solely to the KPIP technician; no reimbursements will be issued directly to the Customer.

Warranty Period Limitations: Any repaired or replaced product shall remain subject to the original warranty period from the date of the original purchase from APS, and any repair or replacement shall not extend the original warranty period in any manner or start a new warranty period. During all warranty periods, APS's obligation as to repair or replacement shall be limited to repair or replacement with the models of the Product that are available at the time of the repair or replacement.

Disclaimer of Warranties; Limitation of Liability

THIS LIMITED WARRANTY IS THE SOLE AND EXCLUSIVE WARRANTY PROVIDED BY APS AND IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. APS EXPRESSLY DISCLAIMS ANY AND ALL OTHER WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE (MD. CODE ANN., COM. LAW § 2-316).

REMEDY LIMITATION: CUSTOMER'S SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF WARRANTY SHALL BE, AT APS’S OPTION, THE REPAIR OR REPLACEMENT OF THE NON-CONFORMING PRODUCT OR A REFUND OF THE PURCHASE PRICE. IN NO EVENT SHALL APS BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INDIRECT DAMAGES, INCLUDING LOST PROFITS OR LOSS OF USE, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE. ANY CLAIM AGAINST APS SHALL BE LIMITED TO THE PURCHASE PRICE OF THE PRODUCT (MD. CODE ANN., COM. LAW § 2-719).

Warranty Transferability

Transfer Eligibility: This Limited Warranty is transferable to subsequent owners of the Product within the original warranty period. Transfer does not extend or renew the warranty period, which continues to run from the original date of purchase.

Transfer Requirements: To effectuate a warranty transfer, the subsequent owner must: (i) provide proof of the original purchase date; and (ii) notify APS in writing of the ownership change within thirty (30) days of transfer. Transfer notification must include the new owner's contact information and the Product's model and serial number.

Transfer Limitations: Warranty transfer is subject to verification of the original purchase date and compliance with all warranty terms and conditions. APS reserves the right to require additional documentation to verify the validity of any warranty transfer.

Warranty Claim Procedures and Timeframes

Direct Claims Process: All warranty claims must be submitted directly to APS. Products may not be returned to the sales channel, dealer, or installer for warranty service. Any returns to parties other than APS may void warranty coverage.

Claim Notification: You may obtain coverage under this Limited Warranty by providing APS with proof of original purchase. For service under this Limited Warranty, you must notify APS in writing within ten (10) days of discovering the defect, providing your name, address, a description of the product involved, and the nature of the defect.

Return Authorization: A return authorization number (RAN) must be obtained from APS at the contact information below before you return any Product for repair. Only after you obtain a RAN, may you send the Product back to APS to have the repair work done. If the failure or defect of the Product is covered under this Limited Warranty, APS will pay shipping both ways within the 48 contiguous United States and the District of Columbia (not Alaska, Hawaii or any U.S. territory) and APS will make every effort to return the equipment to the customer within three weeks after receiving the Product.

Designed for Use in the United States

The Product is designed and manufactured in accordance with United States laws and safety standards. The Manufacturer makes no representation that the Product is compliant with the laws, safety standards, or electrical requirements of any jurisdiction outside the United States. Users are solely responsible for ensuring that the Product complies with all local safety, electrical, and regulatory requirements in any country of operation outside the United States.

Customer Responsibility for Export

If the Customer chooses to export the Product, they do so at their own risk and expense.

Compliance: The Customer is solely responsible for any import or export duties, tariffs, or documentation and ensuring the Product complies with all destination-country regulations and for obtaining all necessary export/import licenses.

Shipping Damage: The Manufacturer is not liable for any damage occurring during international transit or caused by third-party freight forwarders. All risk of loss or damage transfers to the Customer upon the Product's departure from the Manufacturer's domestic facility.

Warranty Exclusions and Limitations

Conditions for Warranty Coverage. APS's Products must be stored, handled, installed, used and maintained in accordance with the Installation and Operations Manual , and this Limited Warranty is conditioned upon compliance with all such instructions. Copies of APS's Installation and Operations Manual are available from APS at the address listed below. Excluded Defects and Conditions. This Limited Warranty does not cover defects caused by: (1) non-compliance with APS's Installation and Operations Manual; (2) improper storage, installation, handling, use and/or fabrication of the Product; (3) damage not resulting from manufacturing defects that occur while the Product is in the customer's possession; (4) unreasonable or unintended use of Product or beyond the Product’s specified capacity; (5) minor conditions such as stains or scratches; (6) use of the Product to cool spaces exceeding the maximum square footage or thermal load for which the Product was designed; and (7) use in environments or for purposes for which the Product was not intended.

Force Majeure

APS shall not be liable for delays in performance or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, or government restrictions. Performance shall be excused only for the duration of the force majeure event and shall resume within a reasonable time thereafter.

Dispute Resolution

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to this Limited Warranty, including its breach, termination, enforcement, interpretation, or validity (Dispute) shall first be submitted to non-binding mediation administered by the American Arbitration Association (AAA) before a single mediator in Prince George’s County, Maryland. If the Dispute is not resolved by mediation, the Dispute shall.be resolved by binding arbitration administered by the American Arbitration Association (AAA) before a single arbitrator in Prince George’s County, Maryland.

Mediation and Arbitration Procedures: The mediation and arbitration shall be conducted in accordance with the AAA's applicable rules then in effect. If the Dispute goes to arbitration, the arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees, and the parties shall share equally the mediator’s and arbitrator's fees and administrative costs of mediation and arbitration.

Governing Law: This Limited Warranty is governed by Maryland law, without regard to conflict of laws principles.
